Terms of Service

1. Agreement to Terms

By accessing or using the services provided by DevX Studio ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

These Terms apply to all visitors, users, and clients who access or use our services, including but not limited to our website (devxstudio.in), development services, consulting, and any other services we provide.

2. Services

DevX Studio provides the following services:

• Web and mobile application development
• UI/UX design services
• AI and machine learning integration
• Technology consulting and strategy
• MVP development and prototyping
• Maintenance and support services

The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate Service Agreement or Statement of Work (SOW) agreed upon by both parties.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project execution
• Respond to communications and requests for feedback in a timely manner
• Provide all required content, assets, and materials as agreed
• Make payments according to the agreed schedule
• Designate authorized representatives for project decisions
• Ensure you have the rights to any materials provided to us

4. Project Process

4.1 Project Initiation

Projects begin upon execution of a Service Agreement or SOW and receipt of the agreed initial payment. Project timelines are estimates and may be adjusted based on scope changes, client feedback delays, or unforeseen technical challenges.

4.2 Revisions and Changes

Each project includes a specified number of revision rounds as outlined in the SOW. Additional revisions beyond the agreed scope may incur additional charges. Significant scope changes require a change order with revised pricing and timeline.

4.3 Approval and Sign-off

Client approval is required at key project milestones. Approved deliverables are considered accepted. Failure to provide feedback within 7 business days may result in automatic approval.

5. Payment Terms

• Payment terms are specified in each Service Agreement or SOW
• Standard payment structure: 50% upfront, 50% upon completion
• Larger projects may have milestone-based payment schedules
• Invoices are due within 14 days of receipt unless otherwise agreed
• Late payments may incur interest charges of 1.5% per month
• We reserve the right to pause work on accounts with outstanding balances

6. Intellectual Property

6.1 Client Ownership

Upon full payment, clients receive ownership of all custom work created specifically for their project, including custom designs, code, and content created by DevX Studio for the client.

6.2 DevX Studio Ownership

DevX Studio retains ownership of:

• Pre-existing tools, frameworks, and code libraries
• General knowledge, skills, and techniques
• Reusable components and templates
• Proprietary methodologies and processes

6.3 Third-Party Materials

Projects may incorporate third-party materials (fonts, images, libraries) subject to their respective licenses. Clients are responsible for maintaining compliance with such licenses.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This includes but is not limited to:

• Business strategies and plans
• Technical specifications and architecture
• Financial information
• User data and analytics
• Trade secrets and proprietary processes

Confidentiality obligations survive the termination of the business relationship.

8. Portfolio Rights

DevX Studio reserves the right to display completed work in our portfolio, case studies, and marketing materials unless explicitly prohibited in the Service Agreement. We will seek permission before disclosing confidential business information.

9. Warranties and Disclaimers

9.1 Our Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty period after project completion for bug fixes related to the delivered scope.

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We are not responsible for third-party services, APIs, or hosting environments.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVX STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL.

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

11. Termination

11.1 Termination by Client

Clients may terminate a project with 14 days written notice. In such cases, payment is due for all work completed and in progress, plus any non-refundable third-party costs incurred.

11.2 Termination by DevX Studio

We may terminate services if the client breaches these Terms, fails to make timely payments, or becomes unresponsive for more than 30 days.

11.3 Effect of Termination

Upon termination, we will deliver all completed work upon receipt of payment for work performed. Partially completed work remains our property until paid for.

12. Indemnification

You agree to indemnify, defend, and hold harmless DevX Studio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of our services
• Your breach of these Terms
• Your violation of any third-party rights
• Content or materials you provide

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in [City], India.

14. Changes to Terms
